End User’s License Agreement – AsianBetSports S.r.l.s.

Dear user, We invite you to read this license Agreement carefully and understand clearly the conditions and the terms below before using the algorithm - called “ABS software”™ - provided by the platform host on the website asianbetsoccer.com.

a) Introduction:

These conditions are stipulated between AsianBetSports S.r.l.s and the User and come into force at the time of use and/or navigation of the Site "asianbetsoccer.com" by the User. The object of these conditions is the license to use the over mentioned Algorithm, according to the terms and conditions described below. By using the algorithm, the User declares to have read and understood the terms of use of these conditions and to fully accept each of these provisions. Full acceptance of the conditions is a necessary requirement for using the algorithm according to the terms set out in these conditions. If the User does not intend to accept these conditions, he or she is invited not to click on the “I declare to accept” button for the "service plans" or for the “free plan without registration” and not to access, view, download or otherwise use any page or content or service offered by the overmentioned website.

b) Definitions:

1. “Updates” means any updates, improvements, supplements that may be provided in connection with the use of the overmentioned algorithm and of this terms and conditions; 2. “Telegram” means the service created by Telegram FZ LLC Telegram Messenger Inc., which allows users to use Bots made by AsianBetSports S.r.l.s in accordance with the overmentioned algorithm, under its sole responsibility; 3. “Algorithm” indicates the software called “ABS software”™, developed by AsianBetSports S.r.l.s to generate historical statistics, looking for the Asian configuration of each match in the schedule, with over 23 million customizable combinations, integrated by value bet indicators on different types of markets. 4. “Consumer Code” indicates Legislative Decree 6 September 2005, n. 206, and subsequent amendments and additions; 5. “Conditions” indicates these conditions of use and any other document referred to therein or attached to them; 6. “Contents” indicates informations or data given by the user in accordance to this agreement; 7. For “Stripe.com” and “Paypal.com” means the payment processors that receives and processes the user’s payment information; 8. “Parties” means AsianBetSports S.r.l.s to and the User; 9. “User” indicates the natural person (no vat number) who subscribes or uses the overmentioned algorithm and who accepts these Conditions.

c) OWNER:

The “ABS software”™ is registered in SIAE by AsianBetSports S.r.l.s, Via Casilina Sud n.11 03020, Castro dei Volsci (FR), VAT number: 03218410607, and is managed from Mr. Giorgio Ceccarelli born in Frosinone, the 21/10/1990, Castro dei Volsci (FR), via Casilina sud n.11, 03020, C.F. CCCGRG90DR21D810J. It is made available to its customers via website as mentioned above.

d) FUNCTIONING OF THE SERVICE:

The usage of the “ABS software”™ is strictly allowed only towards the pursuit of this agreement. the “ABS software”™ is developed to generate historical statistics, looking for the Asian configuration of each match in the schedule, with over 23 million customizable combinations, integrated by valuebet indicators on different types of markets. Those statistics are displayed as informations in the main page of the website asianbetsocer.com, and got separated into: a) Finished matches; b) Scheduled matches; c) Livescore; For each match it is granted to the customer the possibility to access the odds and stats comparator. Indeed, to the customer is even granted the usage of some tools that are powered by the “ABS software”™, such as a Comparator.

e) USERS BANS, LEGAL CLAIMS TOWARDS:

The usage of this site and this algorithm is intended exclusively for personal use and is provided for worldwide usage.

f) MINIMUM SYSTEM REQUIREMENTS:

for hardware: an Intel Pentium 4 processor or later that's SSE3 capable. For Software: Windows 10 or later; macOS Catalina 10.15 or later; 64-bit Ubuntu 18.04+, Debian 10+, openSUSE 15.2+, or Fedora Linux 32+; Android 7.0 Nougat or later.

g) ACCEPTED USE, USER LYABILITY:

The User may access any part of the site depending on his or her user level and as stated in the terms of use therein. The User may not copy, distribute, transmit, modify or tamper in any way with the material contained on the site. Specifically: 1) circumvent the technical limitations present in the algorithm; 2) reverse engineer, decompile or disassemble the site; 3) remove or modify copyright notices or author identification as they appear on the site; The User will be solely responsible for the correct and continuous functioning of its Internet connectivity and hardware, which in any case must comply with the minimum system contents indicated above, by the same intended for the execution of the services object of the contract. The User will also be exclusively responsible for of the correct and continuous functioning of the equipment and/or the management systems owned and/or available by it as well used in the execution of the contracted services; Finally, the User will be exclusively responsible for the manner in which in which it will concretely go to make use of the services covered by the contract and the correctness of the data entered by the same and/or in any case provided to make use of said services, undertaking to carry out in a timely manner all the control activities contractually placed at its charge, both preliminary and subsequent to each service provided.

h) UPDATES:

Site updates may be issued from time to time through dedicated channels. You may not be able to use all or part of the Application of the site before you have accepted any new terms of use.

i) RIGHTS TRANSFER:

AsianBetSports S.r.l.s. may transfer its rights and obligations hereunder to any of its subsidiaries or investees. Any such transfer shall not affect the rights or obligations of AsianBetSports S.r.l.s.

j) DURATION:

The use of the site and algorithm is licensed for the duration of twenty (20) years starting from the first activation, and is valid anywhere in the world Activation occurs at the time one registers for the first time. It is expressly understood that AsianBetSports S.r.l.s. reserves all rights not specifically licensed in accordance with these Terms.

k) TERMINATION:

AsianBetSports S.r.l.s. reserves the right, at its sole discretion, to suspend and/or terminate your account and/or prevent - even in part - your access to the Site or any features thereof where there is an alleged abnormal use and/or violation of these Terms of Use, without notice and without any liability to you. After any action by AsianBetSports S.r.l. under this clause, Users are not permitted to create a new account to circumvent the termination, cancellation or restriction. Except as expressly permitted by these conditions, the User may not: (i) rent, loan, resell, sublicense or otherwise distribute its registered account; (ii) use the Site or the Algorithm to provide or make operational marketing, training and outsourcing or consulting services, or any other commercial services; (iii) use the site or the algorithm to develop a product that competes with AsianBetSports S.r.l.s.; (iv) use automated access tools, such as spiders or bots, or engage in scraping in connection with the Site or collect information and data from the Site; (v) allow third parties to access or use your registered account, except as may be provided for in these Terms; (vi) distributing or publishing your registered account login credentials; or (vii) using unauthorized login credentials. The site and the algorithm are not intended for use by persons under the age18 years of age. Any use by such individuals will result in termination of these Terms.

l) TERMS MODIFICATION:

AsianBetSports S.r.l.s. reserves the right to reserves the right to change the terms of use at any time and without prior notice, effective upon publication of the modified conditions. In the event that the conditions of use are modified, the User will be asked to accept the new terms of use when you first access the website; any subsequent use will constitute express acceptance of such modified terms of use.

m) RESTORATION:

The User, pursuant to Articles 129 et seq. of the Italian Consumer Code, where applicable, shall have the right, in the event of non-compliance of the service and/or bots with these Conditions, to have the conformity of his purchase restored without charge, by repair or replacement, or to terminate these Conditions. You will forfeit your rights under Article 130, paragraph 2 of the Consumer Code, where applicable, if you do not notify AsianBetSports S.r.l.s. of the lack of conformity within the term of two (2) months from the date on which he/she has discovered the defect.

n) LIABILITY WAIVER DISCLAIMER:

Except as required by law, AsianBetSports S.r.l.s. disclaims all warranties, express or implied, as to the operation and use of the Site and the Algorithm and any products accessed through registration. You acknowledge and agree that you use the service at your own risk and that you are solely responsible for any damage to the device through which you access the Site, such as loss of data or otherwise that may result by downloading, accessing or using the service. Except as required by law, AsianBetSports S.r.l.s., in no event shall be liable for any direct or indirect, special or consequential damages, expenses, lost profits or any other damages suffered by you in connection with the use of the service. Nothing in these Terms shall in any way imply that AsianBetSports S.r.l.s. is obligated or may be considered obligated to conduct prior surveillance of the information that the site and/or the algorithm stores and transmits, or to actively seek facts or circumstances indicating the presence of legally or contractually unlawful activities. o) CONTRACTUAL TERMINATION:

AsianBetSports S.r.l.s. may at any time terminate these terms and conditions, effective immediately, by simple written notice to You in the event that You breach any of the obligations set forth in its set forth license terms and conditions. Termination shall not restrict any party from pursuing other available remedies. With site navigation or account registration, the User expressly consents to the performance by AsianBetSports S.r.l.s. of the services provided for and operated by it. You agree that the right of withdrawal is excluded with respect to such provision pursuant to Article 59, paragraph 1, letter o), of the Consumer Code and to the effect of the acceptance of the present conditions.

p) DATA PROTECTION:

AsianBetSports S.r.l. will process the User's personal data according to the methods and terms specified in the Privacy e Cookie Policy on the websites www.asianbetsoccer.com and www.asianbetsports.com, without prejudice to the information and indications provided to Users as part of the Privacy e Cookie Policy of the websites www.asianbetsoccer.com and www.asianbetsports.com.

q) APPLICABLE LAW AND JURISDICTION:

For any dispute concerning the interpretation or execution of these terms and conditions and the contracts that refer to it, only Italian law shall be applicable, to the exclusion of the rules of private international law that may be applicable. Any dispute arising out of the interpretation, validity, execution, performance or termination of these conditions or otherwise inherent in or arising out of the conditions shall be subject to the exclusive and mandatory jurisdiction of the courts of the place of residence or domicile of the User. These Terms constitute the entire agreement between the Parties and supersede any prior or contemporaneous conditions, agreements or representations, whether oral or written, relating to the subject matter of these Terms. These Conditions may not be modified or any term or condition waived except by a written document signed by a duly authorized representative authorized representative of each party. No party shall be deemed in default under these Conditions by reason of any delay or failure to perform its obligation, resulting from any event beyond its reasonable control (a "Force Majeure") provided that it gives notice in a reasonably timely manner of the condition of Force Majeure and makes reasonable efforts to reduce the delay or non-performance.
